ColumbiaGrid Seeks New Director
Note: This is an update to an announcement originally made on April 20, 2012. The date for potential candidates to respond has been extended to March 22, 2013.
On April 17, 2013, at a Special Member Meeting open to the public, ColumbiaGrid will elect a new director to fill the seat recently vacated by Shelly Richardson. Later this summer it will hold a separate election for its annual director election (this year, for the seat currently held by Ed Sienkiewicz). Candidates must demonstrate substantial and relevant experience with the electric power system in the Pacific Northwest and may not have any conflicts of interest with the director position as described in the ColumbiaGrid Bylaws (to be amended as described below).
In accordance with the current Bylaws, last year, ColumbiaGrid originally sought suggestions from its list of Interested Persons for candidates for Ms. Richardson's Board position. A number of highly qualified individuals applied. With an array of challenges currently facing the industry, the Members decided to delay the selection of a new director to give themselves additional time to consider a strategic response to those industry challenges. The Members are now ready to proceed with selecting a replacement director.
As part of their deliberations, the Members decided to amend the ColumbiaGrid bylaws with respect to the directors and the election process. In short, there will no longer be an absolute disqualification to a director having worked for a Member or another market participant in the year prior to the election. Rather, applicants will be required to disclose any such relationship to the Members as part of the application process. Other changes will also be made giving the Members, and not the existing Board, the responsibility for selecting a final slate of candidates and assumption of other responsibilities relating to the election. Finally, the prohibitions on work that a director might pursue after stepping down from the Board will be modified. These amendments will be applicable to the upcoming elections. The Members intend to finalize the bylaws amendments in the next few weeks and will post them upon their completion.
Given the amount of time that has passed, the Members will confirm that prior applicants are still interested in the reposted position. Also, as the Bylaws amendment will change the eligibility requirements such that barred applicants from applying last year might now be qualified, the Members will reopen the application period until March 22, 2013.
